Terms of Service

These Terms of Service (“Terms”) are a contract between you and Vagrant Limited (“we”, “us”, “our”), also trading in connection with this service as Vagrant Media. They govern your use of this website and the Mong Kok LED billboard booking service.
By creating an account, paying for a booking, checking acceptance boxes, or otherwise using the service, you agree to these Terms, our Privacy Policy, and our Content Policy. If you do not agree, do not use the service.

Who may use the service
You must be 18 years of age or older. The service is for individuals only. The contracting party is always the natural person who signs in and pays — even if the creative promotes a business, brand, product, or employer. That individual assumes full responsibility under these Terms.
Hong Kong (+852) and mainland China (+86) mobile numbers may be used to open an account, subject to the same rules.
What we sell
We sell display time on the Mong Kok LED billboard described above — nothing else. We do not guarantee impressions, foot traffic, sales, brand lift, audience demographics, camera captures, or any business result.
Depending on the product you buy:
- One-off (scheduled / ASAP) plays: After approval, we send an SMS stating the promised play time. Our performance promise for that booking is that your approved creative airs at that stated time (subject to these Terms).
- Daily share-of-voice (SOV) campaigns: After approval, the confirmation / portal view states the play commitment for your campaign. Our performance promise is that, by our system’s count, your creative receives that play amount over the campaign window (subject to these Terms and the SOV shortfall rule below).
Accounts and security
You sign in with a one-time SMS code sent to your mobile number. You are responsible for that number, for keeping OTP codes confidential, and for all activity under your account. Tell us on WhatsApp promptly if you believe your account was used without authorisation.
Orders, pricing, and payment
Prices are shown at checkout in Hong Kong dollars (HKD) and include a review fee locked at payment. You pay the full amount up front through Stripe (for example card, Apple Pay, Google Pay, Alipay, or WeChat Pay, as offered at checkout). Card and wallet details are handled by Stripe; we do not store full card numbers.
Submitting payment is an offer to buy display services on these Terms. We may refuse or cancel a booking where payment fails, fraud is suspected, Content Policy or legal risk appears, or operational limits require it.
Review
Every submission is reviewed before it airs. Approval, rejection, and later removal are in our sole discretion. Approval is not legal advice, regulatory clearance, or a warranty that your creative is lawful or non-infringing.
For one-off (scheduled / ASAP) submissions only, we aim to complete the initial review within ten (10) minutes after a successful paid submission enters the review queue (or within such other window as we configure in admin settings and disclose in-product). If that window passes without an approve / reject decision, a control will appear on the relevant booking card in your portal that lets you request a full refund of the amount paid for that booking, including the review fee. The refund is not automatic — you must use that control to start it. This timed review promise does not apply to daily SOV campaigns.
If we reject your media under the Content Policy or these Terms within the review process, we refund everything except the non-refundable review fee.
Performance, downtime, and remedies
One-off miss
If a one-off ad is not displayed at the promised SMS play time, you may claim a full refund including the review fee, provided you give us video evidence that clearly shows (1) the time of day and (2) that the billboard did not show your ad at that time. We may reject claims that are unclear, edited misleadingly, or inconsistent with our logs.
SOV shortfall
If, by our system’s calculation, your SOV campaign’s committed play amount cannot be reached within a greater than five percent (5%) error margin, we will extend the campaign by one (1) day. No refund is due for that shortfall when this extension applies.
Takedown because of a third-party notice
If we take down your ad because of a takedown demand, complaint, or notice from any person, brand, platform, or authority — including copyright, privacy, defamation, regulatory, or similar claims — no refund is due.
Our withdrawal without such a reason
If we pull a live ad for our own operational reasons and without a third-party takedown / notice basis as above, you are entitled to a refund proportional to remaining unplayed value (plays remaining versus plays already delivered, as counted by our systems), unless another rule in these Terms applies.
Force majeure and operations
We may pause, skip, reschedule, substitute default media, or interrupt playback for maintenance, power, weather, network failure, safety, legal risk, player outage, or other events beyond our reasonable control. Remedies for missed one-off times or SOV shortfalls are limited to the rules in this section — not extra damages.
Refund summary
- Rejected in review: refund of amount paid minus the review fee
- One-off review SLA missed (no decision in time): full refund including review fee, started by you via the portal button on that booking (does not apply to SOV campaigns; not automatic)
- One-off miss at promised SMS time (with qualifying video evidence): full refund including review fee
- SOV shortfall >5% by our count: +1 day extension; no refund
- Takedown after third-party notice: no refund
- Our withdrawal without that notice basis: proportional refund for remaining plays
- Content Policy / rights-holder cases described there (including copyright or likeness takedowns): no refund, as stated in the Content Policy
Refunds are processed back through the original Stripe payment path where possible. Timing may depend on Stripe and your payment provider.
Opening a chargeback, payment dispute, or similar reversal without first contacting us on WhatsApp may be treated as abuse. We may contest the dispute, suspend or blacklist your account, and recover fees, costs, and losses from you.
Your content and responsibilities
You must comply with the Content Policy in full. You confirm that you have all rights needed for us to host and display your media, and that you take full legal responsibility for it.
You agree to indemnify, defend, and hold harmless Vagrant Limited, Vagrant Media, and our officers, employees, contractors, and partners from and against any claim, loss, damage, cost, fine, or expense (including reasonable legal fees) arising out of or related to: your media; your bookings; your breach of these Terms or the Content Policy; your violation of law; or any dispute with a third party about your ad, brand, likeness, or rights. This indemnity is not capped by the fees you paid.
Licence to your media
You keep ownership of your creative. You grant us a worldwide, non-exclusive, royalty-free licence to upload, store, encode, transcode, cache, reproduce, publicly display, and otherwise process your media as needed to operate the billboard service and related systems (including backups and abuse review). The licence ends when we permanently delete the media under our retention practices, except that we may keep copies as required for legal, accounting, or dispute purposes.
Our IP
The website, player software, branding, and documentation remain ours (or our licensors’). You may not copy, scrape, reverse engineer, or misuse them except as needed to use the service as offered.
Suspension, blacklist, and termination
We may suspend, terminate, or blacklist accounts or phone numbers — and cancel related bookings — if we believe you have abused the service, breached these Terms or the Content Policy, threatened our staff or partners, created legal or national-security risk, engaged in fraud or chargeback abuse, or otherwise made continued service unreasonable. Refund effects follow the refund rules above; a blacklist may include refusal of future sign-ins or bookings from the same person or number.
Disclaimers
The service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. We are not a media agency, advertising advisor, or law firm.
Liability
To the fullest extent permitted by Hong Kong law, we are not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages, or for loss of data, goodwill, or business opportunity.
Where we are liable to you in connection with a booking, our aggregate liability is limited to the amounts you actually paid us for that booking (and any refund already due under these Terms). Nothing in these Terms excludes liability that cannot legally be excluded.
Separately, your liability to us — including under the indemnity — is not limited to fees paid. We reserve the right to pursue any damages, costs, and losses beyond the original contract value.
Governing law
These Terms are governed by the laws of Hong Kong, China. The courts of Hong Kong have exclusive jurisdiction, without prejudice to any rights we have to seek interim relief elsewhere.
Changes
We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use of the service after an update means you accept the revised Terms.
Language
These Terms may be provided in more than one language. If there is any conflict, inconsistency, or ambiguity between language versions — or if these Terms are relied on in any legal proceeding — the English version prevails.
